This Contract will be signed online for work costing less than 5,000,000JPY. for work over that price mark, a printed and signed contract will be required.
BETWEEN the contractor KK Mori no Takumi whose address is Aza Yamada 46-151, Kutchan-cho referred to as the “Contractor,”
AND the Property Owner(s) whose name appears on the quote whose address is available on the quote is referred to as the “Owner.”
If there is more than one Property Owner, the word “Owner” shall mean each Property Owner named above.
Agreement
The contractor agrees to perform certain construction, alteration or repair work (referred to as the “work”) in accordance with this Contract. All work will be done in a good, sound and workmanlike manner.
The Contractor will begin the work no later than agreed timeline. Barring any delay caused by circumstances beyond the Contractor's control, the work shall be completed by agreed timeline.
The Owner acknowledges and agrees that the scheduling dates are approximate and that any delay attributable to the presence of hidden conditions or requiring additional work discovered during the course of construction, or delays arising out of the receipt of equipment and/or materials, that are not avoidable by the contractor, shall not be considered as violations of this Agreement.
Work
The work is described and will be exectuted in accordance with the Drawings, Plans and Specifications made by KK Mori no Takumi. More details might be available on email/whatapp or other written communication forms.
Location
All work will be completed on the property (called the “Property”) detailed in the quote.
Price
The agreed upon price is visible on the
attached quote and can vary on the final invoice.
pre-start deposits, milestones deposits or dated deposits might be required. details shall be available in written conversations.
Note: This quoted price is based on today’s material price and availability. In the eventuality those changes too greatly in the near future, the quote would have to be amended. Any changes will be notified in writing as soon as possible in order to select the proper course of action.
Materials
The Contractor will provide the materials, supplies, equipment, services and labor necessary for the complete performance of this Contract. Unless otherwise agreed, all materials will be new and of good quality.
Compliance with Laws
The Contractor will comply with all applicable National, State and local laws regarding work, materials and the safety of persons or property. The Owner will not be responsible for any loss or damage to the work or any property of the Contractor.
Arbitration of Disputes
Either the Owner or the Contractor may submit any dispute related to this Contract to arbitration in accordance with the Japanese law. The decision will be binding upon both the Owner and the Contractor.
No Oral Changes
This Contract can only be changed by an agreement in writing signed by both the Owner and the Contractor. no variations, alterations, deviations, deletions or extra work can be made unless both the Owner and the Contractor specifically agree in writing
Failure to complete the work
The Contractor must properly and diligently complete the work provided for in this Contract. Otherwise, the Owner may notify the Contractor in writing that he must begin work within three days or the Owner will complete the work by other means. Any additional cost to complete this work will be charged to the Contractor.
Failure to Pay Contractor
The Contractor may stop work and terminate
this Contract if the Owner fails to pay the Contractor any sum within 20 days
after the date fixed for payment. The Owner must then pay for all work which
has been completed, together with the Contractor’s reasonable profits and
damages.
If the owner fails to pay sent invoice for the work provided by the Contractor, fines up to 20% of the invoice sums might be asked.
Fire insurance
The Owner will adequately insure all buildings as well as any work and materials used in the buildings against fire. The policy will provide for extended coverage in the names of both the Owner and the Contractor.
Other insurance
The Contractor will maintain insurance coverage required under the Japanese Laws. The Contractor will also provide general public liability insurance protecting the Owner from liability for injuries to persons or property which occur on or about the Property during the work period.
The insurance will provide limits of not less than 1000000JPY for injuries to any one person, and for injuries in any one accident or occurrence, 1276000JPY and for loss or damage to property.
The Contractor will protect the Owner from all claims and liability related to the construction or repair work.
Ownership of Materials
The Contractor will continue to own all materials delivered and work performed until paid for by the Owner. The Contractor will have access to these materials and work at all reasonable times.
Care of property
The Contractor will protect the work, materials, property and adjacent property from damage or loss. The Contractor will also take proper precautions for the safety of the public. The Property will be kept free of waste, rubbish and surplus materials. The Contractor will leave the Property “broom clean” before being entitled to the final payment under this Contract. The Contractor will also pay for, repair or replace any damage or loss caused by the Contractor’s failure to perform this Contract.
Permits
Unless specified, the Contractor will obtain all building permits or approvals as required by law. Cost of those required permits is included in quote.
The Contractor shall not be deemed responsible for delays in the work described in this Agreement caused by regulatory, permit granting or inspection agencies, authorities or individuals.
Warranties
The Contractor agrees to warrant the finished project for one year beginning from the date of completion for one year following. The Contractor agrees to correct any defect during the one (1) year period in a prompt manner from the time the Contractor is notified. The Owner shall notify the Contractor of a defect as soon as the defect is discovered. All notices of defect shall be in writing and shall state with specificity, the defect discovered.
Contractor agrees to provide the Owner with all manufacturers' warranties, guarantees, instructional booklets, and other informative literature of the products and materials used in the home.
No employee, agent, or subcontractor is authorized to make any representation or warranty on behalf of the Contractor other than those contained in this Agreement. This warranty is non-transferable.
The contractor will NOT provide a warranty for any materials or appliances that
are supplied directly by the Owner.
Warranties provided by the Contractor are non transferable.
Notices
All notices under this Contract must be in writing. The notices must be delivered personally or mailed by certified mail, return receipt requested, to the other party at the address written in this Contract or to that party’s attorney.
Parties
Both the Owner and the Contractor are bound by this Contract. All parties who lawfully succeed to their rights and responsibilities are also bound.
